These Terms and Conditions (“Agreement”) govern the services provided by Shopping Ads Solutions (“we,” “our,” or “us”) to clients (“you” or “your”). By engaging our services, you agree to these terms.
1. Services Provided
We offer advertising and marketing optimization services, including but not limited to:
- Managing and optimizing advertising campaigns on Meta, Google, TikTok, and other platforms
- Analyzing performance data
- Integrating with Shopify and advertising APIs
- Creating audience strategies and automations
Specific services will be outlined in a written proposal or scope of work.
2. Client Responsibilities
You agree to:
- Provide us with access to relevant advertising accounts and platforms
- Maintain an active connection between your Shopify store (or other platforms) and the ad tools used
- Review and approve campaigns, creatives, or data usage when required
- Ensure compliance with your own privacy and data obligations
3. Payment Terms
All fees and payment schedules are outlined in our proposal or agreement. Unless otherwise stated:
- Monthly retainers are due in advance
- Ad spend is paid directly by the client to the ad platform
- Failure to pay may result in a pause or termination of services
4. Data and Privacy
We access and use performance data strictly for the purpose of optimizing advertising campaigns. We do not store customer personal data independently. Upon termination, all access to your properties will be revoked automatically.
5. Intellectual Property
All creative materials, scripts, or audience strategies developed by us may be used by you during and after our engagement, unless stated otherwise. We reserve the right to showcase anonymized case studies unless you request in writing not to.
6. Limitation of Liability
We are not liable for:
- Downtime or errors from third-party platforms (e.g., Shopify, Meta, Google)
- Fluctuations in campaign performance due to external changes
- Any losses resulting from incorrect data or platform instability
Our liability is limited to the amount paid by you for our services in the month in which the issue occurred.
7. Termination
Either party may terminate this agreement with written notice. Upon termination:
- We will disconnect from all client-owned platforms
- No further billing will occur after the termination date
- Any outstanding payments must be settled within 7 days
8. Governing Law
This agreement shall be governed by the laws of the State of Israel, unless otherwise stated in a signed contract.
